End User License Agreement (EULA)

Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and HelpBubble ("Company," "We," "Us," or "Our") for the use of HelpBubble's AI-powered customer support chatbot software and services ("Software" or "Service"). By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use the Software.

IMPORTANT: HelpBubble is a web-based Software-as-a-Service (SaaS) application. It is NOT desktop software that you download or install on your computer. You access the Software entirely through your web browser at helpbubble.ai. No software installation, download, or local storage is required.

License Grant

Subject to your compliance with this EULA, HelpBubble grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access the web-based Software through your browser at helpbubble.ai
• Use the Software as a hosted service for your internal business purposes
• Embed the chatbot widget on your website(s) via our provided embed code
• Configure and customize the Software settings through our web dashboard
• Use the Software in accordance with your chosen subscription plan

This license is for accessing our hosted web application only. You do not receive any software files, source code, or downloadable applications.

License Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove, alter, or obscure any copyright, trademark, or proprietary notices
• Rent, lease, lend, sell, sublicense, or distribute the Software to third parties
• Use the Software to develop a competing product or service
• Access the Software to build a similar or competitive service
• Use the Software for any illegal or unauthorized purpose
• Attempt to bypass any usage limits or rate limits
• Extract or scrape data from the Software using automated means

Intellectual Property Rights

All rights, title, and interest in and to the Software, including all intellectual property rights, are and will remain the exclusive property of HelpBubble. This EULA does not grant you any rights to:

• HelpBubble's trademarks, service marks, trade names, or logos
• Patents, copyrights, database rights, or trade secrets
• The Software's source code, algorithms, or architecture

You retain ownership of your data, content, and configurations submitted to or generated by the Software.

Subscription Plans and Billing

The Software is provided under a subscription model. Your use is subject to:

• The subscription plan you select (Free, Starter, Pro, or Scale)
• Monthly or annual billing cycles as chosen
• Automatic renewal unless cancelled
• Usage limits based on your plan (message quotas)

Data Privacy and Security

Your use of the Software is subject to our Privacy Policy. We implement industry-standard security measures to protect your data, but you acknowledge that:

• No data transmission over the internet is 100% secure
• You are responsible for maintaining the confidentiality of your account credentials
• You must comply with applicable data protection laws (GDPR, CCPA, etc.)
• We may access your data to provide support or improve the Service

AI-Generated Content Disclaimer

The Software uses artificial intelligence (AI) models to generate responses. You acknowledge and agree that:

• AI-generated responses may be inaccurate, incomplete, or inappropriate
• You are solely responsible for reviewing and monitoring chatbot responses
• We do not guarantee the accuracy, reliability, or quality of AI outputs
• You must comply with all applicable laws regarding AI-generated content
• We are not liable for damages caused by AI-generated responses

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Software will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of results
• Warranties regarding third-party services (AI providers, hosting, etc.)

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELPBUBBLE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, downtime, or data loss
• Damages arising from third-party services or AI providers
• Damages exceeding the amount you paid in the last 12 months

Indemnification

You agree to indemnify, defend, and hold harmless HelpBubble, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Software
• Your violation of this EULA or applicable laws
• Your content, data, or chatbot configurations
• Infringement of third-party rights

Updates and Modifications

We reserve the right to:

• Update, modify, or discontinue the Software at any time
• Change features, functionality, or pricing
• Perform maintenance that may temporarily interrupt service
• Update this EULA with reasonable notice to you

Continued use of the Software after updates constitutes acceptance of the changes.

Termination

This EULA is effective until terminated. We may terminate or suspend your license immediately if you:

• Breach any term of this EULA
• Engage in prohibited activities
• Fail to pay subscription fees
• Violate our Terms of Service or Acceptable Use Policy

Upon termination, you must immediately cease using the Software and destroy all copies in your possession.

Export Compliance

The Software may be subject to export control laws. You agree not to export, re-export, or transfer the Software to any prohibited country, entity, or person without proper authorization.

Governing Law and Jurisdiction

This EULA is governed by the laws of England and Wales. Any disputes arising from this EULA shall be resolved exclusively in the courts of England and Wales.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and HelpBubble regarding the Software and supersedes all prior agreements and understandings.

Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
